Legal Counsel

Job description

We are looking for an energetic, ambitious, and high-performing Legal Counsel to join our dynamic legal team.

The ideal candidate is an experienced, solution-oriented, and analytical thinker who will play a key role in shaping our organization’s long-term strategy, supporting business growth, and effectively managing legal risks.

Key Responsibilities

  • Draft, review, and negotiate a wide variety of complex commercial agreements, including software license, SaaS, MSA, partnership, vendor, and client contracts.
  • Provide clear, practical legal advice to internal stakeholders on contract structuring, legal risks, and compliance matters.
  • Support and advise on corporate governance processes, including drafting shareholder and board resolutions, maintaining corporate books, and managing legal entity documentation.
  • Monitor and contribute to compliance programs in areas such as data protection, competition law, and AI governance.
  • Collaborate with the product, finance, HR, and operations teams to ensure legal alignment across business processes and strategic initiatives.
  • Assist in the development and continuous improvement of internal legal documentation, playbooks, and training materials.
  • Contribute to or support M&A transactions, including legal due diligence, corporate structuring, and document review.

Requirements

  • LL.B. from a reputable university and admitted to the Turkish bar.
  • 4–7 years of relevant legal experience in a top-tier law firm or an in-house legal team (preferably in the tech, SaaS, or digital services sectors).
  • Strong experience in drafting and negotiating commercial contracts.
  • Solid knowledge of corporate law and experience in day-to-day corporate legal matters.
  • Working knowledge of IP law and/or interest in further developing IP expertise.
  • Exposure to or interest in M&A processes is highly desirable.
  • Fluency in English, both written and spoken; ability to work comfortably in English-language legal environments.
  • Ability to balance multiple tasks in a fast-paced and evolving business environment.
  • Strong communication, stakeholder management, and problem-solving skills with a proactive mindset.
