Group Company Secretary

Job description

About ATI Global

ATI Global is a world-leading LegalTech organisation dedicated to empowering lawyers and their teams. For more than 30 years, we’ve developed integrated software and information-services solutions that streamline legal workflows and enhance productivity and profitability. Our portfolio includes market-leading brands such as LEAP Legal Software, which delivers a comprehensive cloud-based practice management, document automation and accounting platform for law firms, and InfoTrack, a SaaS innovator providing end-to-end searching, e-filing and litigation workflow services. Together, these solutions give us a unique, end-to-end offering - from law-firm productivity tools through to litigation and conveyancing workflow infrastructure.

Working alongside our global team of passionate high achievers, you’ll join a fast-growing technology business where things seldom stay the same for long. With a group of smart, caring and ambitious professionals across Australia, New Zealand, the UK, Ireland, Canada and the USA, you’ll be in good company - and well-placed to make a real impact.

What you’ll do

As our new Company Secretary, you’ll take ownership of corporate governance across ATI Global and our major brands. You’ll manage the statutory, regulatory and compliance obligations of a large, multinational group, ensuring more than 100 global subsidiaries remain compliant, well-governed and in good standing across Australia, New Zealand, the UK and the US. You’ll modernise and streamline our company secretarial processes, uplift our governance standards and help prepare the Group for an anticipated ASX listing in the next 18-24 months.

To make this happen, you will:

  • Manage all corporate filings, annual returns and statutory requirements across our global entities.

  • Coordinate Board and Committee meetings - scheduling, preparing papers, maintaining minutes and supporting Directors.

  • Maintain Diligent Entities and ensure all corporate records are accurate, compliant and audit-ready.

  • Oversee the administration of employee share schemes and prepare for the transition to a public share registry as we move toward IPO.

  • Partner with our UK, US and Irish legal teams to support local filings and ensure compliance with jurisdiction-specific legislation.

  • Support governance needs arising from ongoing M&A activity, including onboarding new entities into the Group structure.

  • Help professionalise and uplift the company secretarial function, bringing improved systems, structure and consistency to a rapidly growing multinational.

What you’ll bring

  • 5+ years’ experience as a Company Secretary or Assistant Company Secretary within a multinational organisation, ideally spanning Australia, the UK, CA the US and/or New Zealand.
  • Strong knowledge of corporate governance, statutory compliance and entity management - with experience maintaining large subsidiary portfolios.
  • Background may be legal, accounting or governance-focused; you don’t need to be a lawyer, but you do need deep practical CoSec capability.
  • Experience coordinating Board and Committee processes - including preparing agendas, papers and minutes, and supporting Directors with their governance obligations.
  • Hands-on experience with entity management platforms (ideally Diligent Entities) and confidence maintaining filings with regulators such as ASIC, UK Companies House, Delaware incorporated entities and Corporations Canada.
  • Exposure to employee share schemes and an understanding of how share registers operate, with the ability to support the transition to a commercial registry ahead of IPO.

You are the type of person who

  • Is strong in stakeholder engagement, with the credibility and communication skills to influence senior leaders across multiple regions and diverse personalities.

  • Has a hands-on, pragmatic approach - comfortable being the “doer” while also building out a small team as the function scales.

  • The drive to shape and build something significant - taking a growing tech group through IPO readiness and into life as a listed entity.

LEAP is an inclusive, people-first company committed to breaking down institutional barriers that keep people from reaching their potential. If you meet some, but not all the requirements above, we encourage you to still submit your application.

Why join ATI?

  • Make an impact. You won’t be another ‘cog in the wheel’ here. We give full trust and autonomy for you to be heard, to work on big & complex projects – and to make a real difference.
  • Work with a group of authentic, passionate people who love what they do.
  • Flexible and hybrid working. We’d like to find this person in Sydney, but we want you to work in a way that suits you and we’re open to flexible arrangements that support you.
  • Grow your career with us. Our founder Christian Beck has been building legal tech businesses for over 30 years. There are opportunities galore to expand your career based on where your interests lie. We’re not afraid to pivot based on market conditions - you will always have the opportunity to stay ahead of the curve and do your best work here.
  • Have fun with us. Celebrations. Socials. Sports teams. Access to sailing and yacht events.
  • We value your well-being - enjoy an additional paid wellbeing day every year, free gym membership, corporate dental plan and weekly massages in the office.
  • Work in a new, beautiful office space– with a catered lunch and breakfast every week, fully stocked kitchen and an on-site barista.
  • Access to LEAP Home - a program unique to LEAP to support you in buying your primary residence.
