Job description

An established U.S. law firm with a growing presence in Israel that represents clients in the public listing of companies, raising capital, SEC-compliance, securities offerings, and international mergers and acquisitions; is seeking a Securities & Capital Markets Attorney to join our team in Israel. This position offers significant flexibility with remote work options.

Functions

  • Work with issuers, underwriters, and regulators related to IPOs, SEC registered follow-on offerings and private/exempt offerings

  • Draft SEC filings and correspondence, including Exchange Act compliance

  • Manage NYSE, NASDAQ, and OTC compliance for public company clients

  • Handle Exchange Act reporting and compliance, including:

    • Exchange Act registration statements
    • Annual and quarterly reports
    • Current reports
    • Proxy statements/proxy contests
    • Information statements
    • Tender offer statements
    • Insider filings

Working Conditions

  • Flexible Work Arrangement: Primarily remote work with optional office access in Tel Aviv
  • Some Evening Work: May occasionally require evening meetings (typically 6:00-8:00 PM IST) due to U.S. time zones
  • Minimal Travel: Travel requirements are rare (once or twice per year)
  • Reporting Structure: Reports to the Israeli Partner and Managing Partner

  • 4-5 years of relevant securities experience

  • Must be a licensed attorney in Israel and a member of the Israel Bar Association

  • Experience advising on capital markets transactions, IPOs, private placements, and securities compliance

  • Experience working with corporate clients, investment funds or financial institutions

  • Strong contract drafting and negotiation skills

  • Fluent in English and Hebrew

  • Ability to work independently with minimal supervision

  • Excellent written and verbal communication skills

  • Demonstrated ability to work on multiple projects simultaneously and remain calm under pressure

  • Strategic thinking and the ability to balance business needs and legal risks

  • Self-motivation and ability to meet deadlines

  • Salary Range: ₪230k - ₪290k (ILS) annually (depending on experience)
