Job Description

As Company Secretary acting for the legal entities of the Netherlands cluster, you will be responsible for ensuring compliance with legal, regulatory and governance standards. At present there are 18 legal entities in the Netherlands cluster, and these consist of both regulated and non-regulated entities. You will provide governance and board support for different entities in our cluster.

You will:

  • Convene and service annual general meeting and other board or shareholders meetings, or committees (preparing agendas, recording & finalizing minutes, conveying decisions, handling meetings correspondences, etc.)
  • Ensure board procedures are followed and decisions made are properly documented
  • Maintain statutory books and files including shareholders’, directors & regulatory registers
  • Organize, plan, minute and arrange follow up on committee meetings, such as weekly client acceptance meetings, monthly country management team meetings, works council meetings and quarterly risk and compliance meetings
  • Provide support to the board and committee members
  • Answer correspondence, collate information and prepare reports, ensuring decisions made are communicated to the relevant companies’ stakeholders
  • Monitor and follow up on legal deadlines to ensure companies comply with all legal, statutory and /or regulatory reporting requirements, evidenced also in the outcomes of the compliance audit
  • Assist with Group questions, requirements, policies that relate to corporate governance of NL entities and related queries as needed
  • Ensure on time filing and administration of companies’ records

Qualifications

  • Bachelor/Master’s degree
  • 2-4 years in Law firm or proven work experience as a Company Secretary or in corporate law
  • Knowledge of MS Office and curiosity in and affinity to adapt new tech solutions
  • Experience with handling of corporate records and dealing with corporate governance
  • Knowledge of Netherlands company law is an asset
  • Fluent in English and Dutch, an additional language is an asset
