Sunrock Distributed Generation is a developer, long-term operator, and financier of solar and energy storage assets deployed on the properties of businesses, municipalities, and nonprofits across the USA.

Leveraging a network of trusted partners and installers, tech-enabled operational efficiency, and a proprietary underwriting method, we design distributed generation and virtual power plant solutions tailored to the needs of organizations previously unable to access the benefits of solar energy. Our approach enables businesses to maximize the benefits of solar and distributed energy solutions, regardless of project size. We offer Power Purchase Agreements (PPA) with zero upfront investment, positioning us as the trusted platform for commercial solar DG projects.

We have received investments from a number of capital partners, including Greenbacker Development Opportunities Fund I, L.P., a leading infrastructure private equity fund that has raised and deployed nearly $400 million across over a dozen high growth companies.

We are seeking a highly organized, tech-savvy, and detail-oriented Paralegal to join our legal team. This role will support the Company’s General Counsel and two Associate General Counsel with a focus on corporate transactions, including M&A, project finance, joint ventures, entity formation, and general corporate governance. The ideal candidate will have a solid understanding of corporate law and transaction diligence, excellent time management and prioritization skills, and a proactive mindset to support an agile, mission-driven environment.

Key responsibilities

  • Corporate Transactions and Project Support
    • Coordinate with internal teams (e.g. development, finance, asset management) to support legal aspects of solar projects from development to operation.
    • Own the review, execution, and tracking of non-disclosure agreements, letters of intent, and other early stage transaction documents.
    • Conduct transaction due diligence with preliminary review of property title reports, underwriting documents, and other transaction related materials.
    • Assist with transaction closings by obtaining and organizing good standing certificates, lien searches, closing certificates, disclosures, exhibits, and other auxiliary documents, and coordinating document execution.
  • Corporate Governance
    • Manage formation, registration, maintenance, and dissolution of corporations, LLCs, and other legal entities, including name availability checks, tax and fee compliance, EIN registration, and initial and ongoing filings.
    • Prepare, file, and track state annual reports for multiple entities in states across the country.
    • Draft and maintain entity organizational documents such as LLCA, certificates of formation, andΒ  resolutions.
    • Monitor regulatory changes and ensure compliance with corporate governance requirements.
  • Legal Operations
    • Maintain and update internal databases of agreements, organizational documents and other corporate records.
    • Perform and upkeep legal/administrative research to support overall team and organizational execution.
    • Support contract lifecycle management, including tracking key dates, amendments, and expirations, and streamline processes to optimize team efficiency.

Qualifications

  • Bachelor’s degree required.
  • 3 - 5 years of experience working as a paralegal in corporate transactions in an in-house legal department or a mid to large size law firm.
  • High degree of professionalism and discretion in handling confidential information.
  • Strong interpersonal and collaborative skills with all levels of company personnel; comfortable ability to work with transaction/commercial teams directly.
  • Exceptional attention to detail, organizational skills, and ability to prioritize multiple tasks. Must be comfortable juggling multiple high-priority contracts/tasks while also managing longer-term projects in tandem.
  • Strong written and verbal communication skills.
  • Team-oriented and able to work remotely with staff across all technology platforms.
  • An enthusiastic self-starter with an attitude towards taking initiative, problem-solving, and follow through.
  • Proficiency in MS Office suite including Word and Excel, contract management systems, and Adobe Acrobat required. Comfortable with data management, virtual data rooms, and document organization.

Preferred Skills

  • Strong understanding of renewable energy technologies, industry standards and regulations.
  • Knowledge of general recording/filing and/or electronic filing with county, state, and federal jurisdictional agencies.
  • Experience in review of title reports and real property.
  • Experience with registered agent portals and UCC search products.
  • Notary public commission a plus.

Position Type/Expected Hours of Work

Hybrid position - must be able to work out of New York City or Baltimore on a regular basis (NY preferred). Fully remote position (physically located in the US, East Coast business hours) may be considered for exceptional candidates.

Compensation: $85K – $95K base salary + bonus + equity
