POSITION PURPOSE:
This is a permanent, exempt position that reports to the General Counsel & VP, Regulatory. This individual is responsible for serving as legal advisor to Key Capture Energy (“KCE”) in a wide variety of legal matters and matters, with specific focus on corporate, contractual, finance, and commercial matters.
KEY RESPONSIBILITIES:
- Advise in-house clients, including the Commercial, Finance, Development, Engineering & Construction and Asset Operations teams, regarding a variety of matters with a non-exclusive focus on finance, commercial, tax credits, mergers & acquisitions, and corporate matters. Additional matters may include litigation, real estate, interconnection, transactional, and corporate concerns.
- Provide guidance and strategic advice to in-house clients, particularly with respect to finance, tax, commercial, and corporate matters.
- Prepare, edit, and negotiate a wide variety of documents related to battery energy storage system (BESS) projects including but not limited to, project financings, commercial transactions (including but not limited to tolls, build-transfer agreements, index storage credits), investment tax credits, joint ventures, mergers & acquisitions, and transactional documents such as non-disclosure agreements and master service agreements.
- Manage outside legal counsel regarding all aspects of KCE’s business, including but not limited to finance, commercial, tax credits, mergers & acquisitions, and corporate matters.
- Assess risk at all stages of projects from pre-bid to operations and help find and create solutions for mitigating and managing risk.
- Develop and manage corporate policies in tandem with General Counsel & EVP, Regulatory.
- All other duties as required.
WORK EXPERIENCE & REQUIREMENTS:
- Juris Doctor from an accredited law school and membership in at least one state bar association.
- 4+ years of practice with a leading law firm and/or in-house in a similar position with specific experience in contracts and/or financings associated with renewable energy project development.
- Excellent drafting and written communication skills
- Proven ability to solve problems and identify practical solutions.
- Experience in supervision and management of paralegals, real estate specialists, and administrative assistants.
- Demonstrated experience in project management and working on project teams.
- Ability to manage multiple projects simultaneously through to completion.
- Ability to identify and assess business opportunities and threats.
- Excellent communication skills.
- Motivated self-starter with strong organizational and time-management skills.
- Proven experience delivering time-pressured projects on-time and on-quality.
- Proficient in Microsoft Office Suite (including Word, Excel, PowerPoint).
- Ability to work in a small team.
