Principal Duties & Responsibilities
The purpose of this role is to oversee the legal aspects of the company, providing expert advice to business leadership on legal and corporate issues. The role will entail safeguarding our company by guaranteeing that etaily follows guidelines and policies, regulations, and compliance. Secondly, the role is about business partnering with all functions to drive direct business value from your advice. Thirdly, this role will be key in executing our funding strategies, acting as corporate secretary for etaily, and facilitating Board Meetings.
The role will report to the Head of Finance and will mainly focus on Contract Management, Labor and Employment, Government Compliance and Regulations, Commercial and Business Ops law, investment/funding agreements, corporate secretary, and other legal adhoc.
Job responsibilities:
- Provide support and advice at all stages during contract review, negotiation, and management. Provide proactive strategic direction on standardizing our contract templates for our different business models.
- Identify, analyze, and initiate appropriate action on legal issues resulting from transactions and business practices.
- Undertaking compliance matters with government and private entities.
- Handling of internal labor matters and proceedings, dealings with courts and other administrative bodies, and Legal advice concerning local and regional employment policies.
- Ensure the legal protection of the company and associated affiliates, represent the company in a legal capacity when required, and provide training on legal requirements to employees.
- Providing advice related to B2B/B2C issues; reviewing and drafting customer agreements (including, but not limited to, fulfillment centers and other online merchants), vendor agreements (inclusive of OEM manufacturing agreements within China and other parts of the world), tech agreements, and other transactional documents as assigned.
- Providing advice with respect to antitrust/anti-competition laws and data privacy; and providing legal review and support on Incorporation and business entities, terms of service for websites and e-commerce platforms.
- Providing all necessary legal support, setting up, reviewing, and advising on all investment agreements during our upcoming funding rounds.
- Acting as the corporate secretary and facilitating etaily’s board meeting with our investors
- Providing all legal assistance and support for any ad hoc legal issues.
Key qualifications:
After earning your outstanding degree at a top university, you have gained work experience in a law firm, top-tier e-commerce player, consulting companies, and/or start-ups. Your knowledge and expertise in legal and corporate issues, labor-related matters, and government and regulatory compliance contracts and agreements will be vital in effectively executing the needed role.
- Professional Experience: At least 2 years of experience in the legal field, ideally gained in a law firm, leading e-commerce companies, consultancy firms, or dynamic start-up environments.
- Industry Knowledge: Experience or familiarity with consumer products, B2B services, or e-commerce is highly desirable. Previous involvement in funding rounds, including familiarity with investment and shareholder agreements, is a plus.
- Business Acumen: An aptitude for understanding business objectives and providing legal advice that aligns with these goals. The candidate should exhibit a balance between legal expertise and business pragmatism.
- Communication Skills: Exceptional written and verbal communication abilities, with a talent for explaining complex legal concepts in an accessible manner.
- Team Collaboration and Leadership: Proven capability to work collaboratively with cross-functional teams, displaying strong leadership and organizational skills in managing multiple projects simultaneously.
- Adaptability: Quick adaptability to a fast-paced and evolving work environment, with a keen problem-solving approach.
- Regional Expertise: Familiarity with the legal and regulatory landscape in Southeast Asia is beneficial, given the scope of the role.
