The Role:

We’re looking for a Associate, Contract Management II to join us in our Poland Office. As a member of our IT Contracting team, you will support our clients’ businesses by drafting and negotiating a wide range of IT and privacy-related contracts, as part of a broader support service to their contract management and in-house legal teams.

Responsibilities

  • Be part of a team committed to the overall delivery of services and compliance with all delivery commitments to the client
  • Draft and negotiate a wide range of contracts including content and development contracts, software development contracts, professional and consulting services contracts, staffing contracts, licensing contracts, other IP/IT contracts and general commercial contracts;
  • Provide general administrative support to the IT Contracting team
  • Assist with the daily triage and allocation of IT related contracting requests coming into the team
  • Adhere to standard operating procedures and templates tailored to IT contracting (e.g., MSAs, SaaS agreements, SLAs, DPAs)
  • Input and manage data on Factor and client systems and keep them up to date
  • Adhere to standard operating procedures and other tools for use by the team
  • Assist with producing regular and ad hoc reports for Factor and for the client
  • Assist with continuously improving our service to the client and adding value
  • Assist with any ad hoc projects or initiatives for Factor and client as required

Qualifications

This role requires the legal knowledge and ability to take instruction from our client and serve as an escalation point on issues for more junior team members. It’s no small task!

In addition to the above, here are the required skills, knowledge, capabilities, and education for this role:

  • Law Degree and/or Legally Qualified
  • Legally eligible to work in the country this role is based
  • Minimum 2 years drafting and negotiating commercial contract (ideally IT contracts - examples: MPA, MSA, SaaS, SLAs, DPAs) within a law firm, legal services or as part of an in-house legal team
  • Excellent attention to detail
  • Good written and verbal communication and presentation skills. Ability to simplify technical/legal concepts for non-legal stakeholders.
  • Good working knowledge of Microsoft Office suite - especially Microsoft Word
  • Organizational fit for the Factor culture - exhibiting the core values of Authenticity, Accountability, Adaptability and Stewardship
  • Operates with minimal supervision
  • Working with a recognised matter management system as part of daily routine

Desirable:

  • Experience of working with or for  IT, telecommunications, technology vendors, cloud service providers, financial services or professional services firm preferably in a contracting function;
  • Familiarity with privacy and data protection regulations, including but not limited to GDPR and major US privacy laws (e.g., CCPA/CPRA, VCDPA)
  • Experience supporting IT procurement or technology contracting teams

Additional Information

As a member of an ISO Compliant center, the candidate will be required to follow the policies and procedures on Information Security Management System in place at the Center of Excellence and globally at Factor. As a member of the Factor team, the applicant will have access to various company and client assets and will be required to maintain the level of security as identified for each asset.
