Terms of Reference (TOR)

Consultant / Temporary Transition and Phaseout Project Manager for OUS in Senegal

Duty Station : Dakar, Senegal – Hybrid, On site in Oxfam offices in Senegal and Virtual

- Duration: June 1st, 2026, to March 31st, 2027 (10 months)

Reporting: Direct line to xxxxx (TBC); dotted lines to xxxx (TBC).

  1.   Background and Rationale

Oxfam America (OUS) is phasing out its operational presence in Senegal as part of the Oxfam

confederation’s affiliation and decolonization process. By March 31st, 2027, all OUS operations, contracts, projects, systems, and liabilities in Senegal must be fully closed, transferred, or integrated into Oxfam Sénégal (OSE) as the new national affiliate. To manage this transition and ensure compliance with Oxfam, donors, and Senegalese legal requirements, OUS is seeking a consultant based in Dakar, Senegal, to help project manage and coordinate the phase out process. The estimated level of effort is no more than 30 hours per week.

  1.   Objective of the Assignment

Coordinate, execute, monitor, and report on all activities required to complete the full phase-out of OUS operations in Senegal by 31 March 2027, ensuring compliance, risk mitigation, resource accountability, staff support, donor confidence, and a smooth transition to OSE.

  1.   Scope of Work and Key Responsibilities

To support effective execution, a more detailed workplan will be developed across the following categories, and others as required, to ensure all elements are thoroughly addressed.

3-1. Project Management of Strategic Phase-Out Management Plan [Lead: Consultant, with involvement and responsibility for the quality and the content of the plan with relevant OUS, OiSEN, OSE and OI teams]

  • Develop and maintain a Senegal Phase-Out Master Plan, soliciting all requirements and timelines from OUS, Oxfam in Africa (OiA), OI confederation Development Team, OSE and partner affiliates and supporting resolution of any material disagreements ..

  • Maintain an up-to-date risk register with corresponding mitigation actions; organize and minute regular transition meetings (biweekly or monthly).

  • Project manage teams across OUS, Oxfam in Senegal (OiSEN), OSE, OiA, partner affiliates with investments in Senegal, reporting regularly on upcoming and completed deliverables, following up on delays to ensure all close out activities progress according to plan, and that decisions are made, tracked, documented and executed with agreed timelines.

3-2. Legal & Regulatory Requirements [Lead: OUS Finance & Operation / OiSEN Admin & Finance]

  • In coordination with Senegal legal counsel and input from OUS’s counsel, map all steps required for the deregistration of OUS operations in Senegal; estimate associated costs, work with OUS’s leads to secure the necessary budget, and project manage the execution of the deregistration process.
  • Identify contracts, MoUs, licenses, and registrations that require termination, transfer, or amendment; ensure timely regulatory notifications to relevant authorities in coordination with and as authorized by affiliates.
  • Track and support the resolution of any outstanding legal matters (including those related to staff, partners, suppliers, tax, and statutory obligations).

3-3. Human Resources Transition [Lead: OiSEN HR / OUS PCHR & Finance / OSE ED]

With input from leads, support the development and project manage the implementation of HR transition calendar (terminations, transfers, end-of-service), ensuring compliance with Senegalese labor law and Oxfam policy, including:

  • staff consultations, ensuring transparent communication, accessible grievance mechanisms, and attention to staff wellbeing.
  • staff exits (leave liquidation, clearance, asset return) and final settlements, in coordination with HR and Finance.
  • the transfer of all staff contracts from OUS to OSE, including hosted staff.
  • administrative HR processes related to closure, including settling obligations with government entities (e.g., labor, pension) and private insurance providers.
  • the transition of HR data from OUS systems to OSE, ensuring proper storage and compliance with legal requirements.

3-4. Programs, Partnerships & Contract Close-Out [Lead: OSE ED/ OiSEN Program Director / OUS Finance & Grants and respective Partner Affiliates with Investment in Senegal]

  • Support the preparation, in coordination with partner affiliates and teams in Senegal, of a detailed plan for the transfer of programs and contracts from OUS to OSE, ensuring appropriate sequencing and readiness (including systems, staffing, partnerships with national organizations, operational bank accounts, cash flow availability, and oversight) to maintain program integrity and continuity. Project manage execution of that plan.

  • For programs/projects closing before March 2027 that will not be transferred to OSE, support the development and execution of closure plans to ensure proper completion, documentation, and reporting.

  • Validate the assumption that no legacy programs will remain under OUS management post-March 2027; if required, support the development of a legacy program implementation plan.

  • Support the program team in Senegal to prepare and submit all required reports prior to transfer to OSE.

  • Support and help project manage communication and engagement with executing and strategic partners in Senegal to ensure clarity on the transition and continued commitment to working with OSE.

  • Support completion of all required reporting prior to close-out, working with staff leads, including Annual Reports, CQMR, KPIs, audits, and other compliance requirements.

  • Support program and finance teams in preparing contract reconciliations and closure checklists, including for overdue contracts.

3-5. Finance, Audits & Systems Closure [Lead: OUS/OiSEN Finance & TIM]

With the Finance Leads in Senegal at OUS, ensure appropriate project management and support various activities for the phase out. These includes among others:

  • The development and execution of a comprehensive financial close-out plan, including a calendar of donor reporting requirements.
  • Pre-audit preparation, as well as the scheduling and execution of audits, in accordance with national laws and regulatory requirements.
  • Key financial closure activities, including bank account reconciliations, partner fund transfers and close-out, settlement of liabilities and receivables, maintenance of asset registers, utility settlements and transfers to OSE, tax payments, payroll, and compliance-related items.
  • The review of fund balances from grants and partners, the processing of any required repayments, and the preparation of final financial close-out documentation.
  • The closure of OUS bank accounts in Senegal.

3-6. Logistics, Assets & Premises [Lead : OUS & OiSEN Finance & Operations]

  • Verify and reconcile all assets (IT equipment, vehicles, furniture, and program materials); oversee disposal, transfer, or donation in accordance with Oxfam and donor requirements.
  • Manage warehouse and stock clearance, including final distribution; coordinate office and storage closure or transition of lease agreements to OSE.
  • Support the termination or transfer of supplier and utility contracts, as required.
  • Ensure security risk assessments are conducted and appropriate mitigation measures are implemented throughout the close-out process.

3-7. Information Technology & Data Security [Lead: OUS/OiSEN/OI TIM]

  • Working with TIM, oversee and/ or project manage IT asset verification, including secure data wiping, and the deactivation or transfer of licenses and user accounts, as applicable.
  • Support proper digital archiving to BOX (or equivalent platforms), the implementation of appropriate access controls for departing staff, and oversee the closure of local systems.
  • Coordinate with OUS and OI IT teams on any required legacy system support and final decommissioning activities.

3-8. Cross-Functional Archiving [Lead: OUS/OiSEN TIM, Finance, Operations, HR]

  • Conduct an archiving assessment to determine what records should be retained, archived, or disposed of, and define appropriate archiving methods.
  • Develop for signoff by responsible leads a comprehensive archiving plan across all functions (HR, Finance, Programs, Contracts, Logistics, IT), ensuring alignment with data retention policies, GDPR, and

donor/legal requirements. Project manage execution of the plan, supporting archiving directly where required.

  • Arrange secure offsite storage where required, including proper indexing, box listing, and tracking systems.
  • Establish and implement document destruction schedules in compliance with legal and donor requirements and signed off plan.

3-9. Communications & Stakeholder Engagement [Lead: OUS/OiSEN/OSE transition leadership]

  • Prepare internal FAQs for input and signoff by leads and support regular updates to staff; briefings for partners and donors on the phase-out timeline, roles, and responsibilities. support leads to prepare for briefings or do directly as assign.
  • Support the planning and delivery of an OUS Senegal close-out event (December 2026 or early 2027).
  • Maintain an issues log and Q&A tracker to monitor, address, and resolve stakeholder concerns in a timely manner.
  1.   Deliverables
  • Senegal Phase-Out Master Plan (End of June 2026).
  • Monthly Transition Progress Reports and updated risk register (quarterly minimum).
  • HR transition calendar, staff exit matrix, compliance tracker (June 2026)
  • Finance close-out package (reconciliations, donor reporting schedule, audit readiness file) (July 2026)
  • Assets/logistics inventory and disposal/transfer plan with evidence files (August 2026)
  • IT deactivation and data archiving plan with completion certificates (August/September 2026)
  • Contracts & projects closure tracker (including partner deliverables, evaluations, and reporting) (July-December 2026)
  • Legal deregistration action plan and status updates (Nov-Dec. 2026)
  • Final OUS Senegal Closure Report (March 2027).
  • Organize event [By end of March 2027]
  1.   Expectations for this Position

The consultant:

  1.   Qualifications and Experience

Required:

  • 10+ years in INGO operations, transition management, or country office closure in Senegal or other comparable contexts;
  • Proven experience leading or project managing various functions across compliance, finance/audit coordination, HR processes, logistics/asset management, donor reporting, and government liaison;
  • Excellent organizational and project management skills with strong stakeholder coordination and communication;
  • Fluency in French and working proficiency in English; familiarity with Senegalese International

NGO context, labor law and other relevant regulations.

Preferred:

  • Experience with Oxfam systems and processes (e.g., UBW, OPP, BOX, etc.). or similar INGOs operations processes.
  • Direct experience with Oxfam country transitions/closures or with similar INGOs.

June 1, 2026 – March 31, 2027 (10 months); Part -time position or equivalent consultancy level of effort.

Primary supervisor: TBC. Dotted-line supervision: TBC.

  1.   Estimated Compensation:

As this is a part-time opportunity (approximately 30 hours per week), Oxfam is prepared to offer a monthly fee in the range of USD 5,000 to USD 6,000, depending on the consultant’s level of experience. The consultant will be responsible for the payment of all applicable taxes and insurance contributions in Senegal.
