Job description

Our client, a private, venture-backed consumer technology company with more than 200 million active users around the world, has exclusively retained Solutus Legal Search to assist in its search for a Senior Counsel, Corporate & Securities to join its growing legal team. Reporting to the VP & Deputy General Counsel for Corporate and Commercial Law, this attorney will serve as lead counsel for corporate securities, corporate governance, and M&A matters, and partner closely with the CLO, CFO, and the Finance, Accounting, and People teams. The role is hybrid and requires a flexible in office commitment 2-3 days a week.

This is an exceptional opportunity to serve in a high-impact role in a world class organization (and legal department) on the frontiers of its next material growth chapter.

Responsibilities:

  • Assist with the company’s SEC filings, including 10-Ks, 10-Qs, 8-Ks, and proxy statements
  • Collaborate with Investor Relations on Regulation FD compliance and the legal aspects of investor engagement
  • Prepare agendas, materials, and minutes for Board and Committee meetings
  • Help prepare for and manage the Company’s annual stockholder meeting in collaboration with counterparts on the Finance and Investor Relations teams
  • Advise on financing transactions such as credit facilities, public and private securities offerings, and debt compliance
  • Advise on M&A transactions of all sizes, from term sheets through diligence, definitive agreements, closings, and integrations
  • Lead legal work for the company’s global corporate administration program, including overseeing maintenance of domestic and international subsidiaries, orchestrating international entity expansion, and advising on entity structuring and related matters
  • Provide legal advice and support in connection with stock plans, executive compensation, insider trading policies, and Rule 10b5-1 plans
  • Manage Section 16 reporting, including Forms 3, 4, and 5, ensuring compliance with reporting requirements

Requirements:

  • J.D. from an accredited law school
  • Admission to the California Bar or eligible to register as in-house counsel with the California Bar
  • 8+ years of combined experience practicing corporate law, preferably at a well-respected law firm and in-house with a publicly-listed tech company
  • Deep expertise in Securities Act and Exchange Act reporting and compliance.
  • Hands-on experience driving M&A transactions is preferred
  • Experience with financing transactions such as credit facilities, public and private securities offerings, and debt compliance is preferred
  • Ability to clearly communicate complex legal topics to cross-functional executive leadership
  • Strong business judgment, with a track record of designing and implementing creative and scalable programs and solutions
  • Exceptional attention to detail with accountability for follow-through and outcomes.

The expected base salary range for this position is $380,000 - $410,000 plus equity. Actual compensation will be determined based on several factors, including a candidate’s years of directly relevant corporate legal experience.
