Our client, a publicly traded digital health company leveraging technology and AI to transform care delivery, has exclusively retained Solutus Legal Search to assist the executives in their search for a Commercial Counsel. This role reports to the Associate General Counsel, Commercial and will be located in San Francisco, CA.
This attorney will serve as a key member of the legal team, partnering closely with commercial, sales, and procurement stakeholders to support revenue-generating activities and operational initiatives. The role is highly integrated with the business and focuses on enabling efficient deal execution while balancing legal and regulatory risk. The position also offers exposure to a broad range of legal matters beyond core commercial work, providing meaningful opportunities for growth within a collaborative and fast-paced environment.
Responsibilities include:
- Leading contract review and negotiation efforts in support of commercial and procurement activities, serving as a primary legal partner to business stakeholders.
- Identifying and mitigating legal and business risks in commercial agreements, while providing practical, solutions-oriented guidance to drive transactions forward.
- Designing and improving contract templates, playbooks, and workflows to increase efficiency and scalability, including supporting contract management systems and training business partners.
- Advising on healthcare regulatory, privacy, and compliance considerations, as well as contract interpretation, in collaboration with cross-functional teams.
The ideal candidate is a business-minded attorney who is comfortable operating in a fast-paced, high-growth environment and partnering directly with internal clients. This role requires strong drafting and negotiation skills, sound judgment, and the ability to balance legal risk with commercial objectives. A proactive, collaborative approach and willingness to engage across a range of legal issues are important to success.
Experience Includes:
- Approximately 4-7 years of legal experience, with a strong focus on drafting and negotiating commercial agreements, particularly in healthcare, technology, or SaaS environments.
- Juris Doctor (J.D.) from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Experience supporting commercial teams, including sales and procurement functions, in an in-house or high-growth environment.
- Familiarity with healthcare regulatory frameworks, privacy considerations, and contract interpretation in a regulated industry.
- Experience with contract lifecycle management systems and an interest in leveraging technology, including AI tools, to improve legal processes.
- Strong judgment, communication skills, and the ability to manage multiple priorities independently in a fast-paced setting.
The role offers a competitive compensation package, including a base salary range of $200,000 β $220,000, together with eligibility for equity participation.
