Job Summary

Reporting to the General Counsel, the Paralegal will play a crucial role in entity management, corporate governance, structured finance facility closings, and litigation management related to the development and operation of distributed battery energy storage projects as well as Legal Operations support for our legal team. The Paralegal will work closely with the legal team, project finance team, and external counsel negotiating and conducting due diligence for various corporate and transactional matters and handling litigation matters. The ideal candidate will be familiar with the intricacies of corporate and finance transactions and construction litigation, and possess excellent organizational and communication skills.

Roles and responsibilities

  • Draft, review, and revise a variety of legal documents, including contracts, agreements, and corporate policies under supervision of the General Counsel.
  • Assist in maintaining corporate records and ensuring compliance with regulatory requirements.
  • Assist in forming and managing entities and our entity management system.
  • Coordinate due diligence for mergers, acquisitions, financings and other transactions with the General Counsel and Associate General Counsel.
  • Review, draft, and manage NDAs
  • Serve as gate-keeper to internal legal function and provide legal operations support to the legal team, including helping to set up, configure and administer the team’s contracts management platform to house legacy archives and establish templates and workflows to generate new contracts, drive collaborative review of negotiated drafts, obtain and record approvals, and execute and archive finalized agreements.
  • Other duties as assigned.

Required education and experience

  • Bachelor’s degree and paralegal certification.
  • Notary Public in New York State.
  • Proven experience as a corporate paralegal, preferably in renewable energy or commercial real estate development.
  • Familiarity with real estate/construction litigation and insurance matters.
  • Experience with Legal Operations, including contract management (legacy archives and template-driven new contracts) and maintenance of contract lifecycle management (CLM) platform(s)
  • Proficiency in document management systems.
  • Strong organizational and multitasking skills.
  • Excellent written and verbal communication skills.
  • Proficiency in assisting with legal research and document drafting.
  • Ability to work collaboratively in a dynamic and fast-paced environment.
