Job Description
Join our Lux Fund Corporate Secretariat (FCS) team and play a vital role in supporting international fund structures and global clients based in Luxembourg. In this role, you’ll coordinate day‑to‑day corporate secretarial and administrative activities, ensuring client entities remain compliant and in good standing at all times. You’ll work closely with experienced teams in Luxembourg, gaining exposure to complex client structures and cross‑border operations. What you’ll do
- You’ll provide end-to-end corporate secretarial support to the Lux Fund CS & Cosec team in line with SLAs, acting as the main point of contact for complex clients, audits, onboarding, and day‑to‑day operational matters.
- You’ll prepare, finalise, and review complex board packs, board and shareholder meeting documentation, and minutes, including reviewing work completed by junior team members.
- You’ll manage regulatory, compliance, and risk-related activities, including RCS, RBO, UBO documentation, Compliance File Reviews (CFRs), transaction monitoring, bank account openings, and adherence to all legal and regulatory procedures.
- You’ll coordinate closely with Luxembourg FCS and Payment teams to ensure accurate and timely execution of payments, deliverables, and client requests with a strong focus on quality and controls.
- You’ll lead and collaborate with a small sub-team, communicate effectively with multiple stakeholders, build strong working relationships, develop client-specific expertise, and actively pursue your own professional growth while minimizing operational risk.

Qualifications
- You hold a bachelor’s degree in Law, are semi‑qualified as a Company Secretary (CS), and have at least 2 years of experience in corporate, company, or fiscal law.
- You are conversant with corporate secretarial practices, particularly involving Funds and Special Purpose Vehicles (SPVs), with exposure to private equity and real estate markets.
- You possess strong technical experience in board governance and corporate secretarial functions, including preparing board materials, attending or leading board meetings, acting as Company Secretary, drafting complex minutes, and handling regulatory filings.
- You are proficient in email, word processing, Excel, presentations, and video conferencing tools, with solid command of Microsoft Office applications.
- You demonstrate effective written and advanced verbal communication skills, with mandatory fluency in English.
Desired
- Experience working in Financial Services or Shared Services office environment.
- Experience working in a multinational office environment.
- Experience being a corporate secretary, paralegal, or other similar job, in other jurisdictions.
- Being conversant with corporate secretarial practices, especially in the areas of funds and special-purpose vehicles is an advantage
- Language - Fluency in French is an advantage
