Job Description
As a Senior Executive within our Company Secretarial team, you will manage complex corporate secretarial matters, provide guidance on governance issues, oversee critical corporate actions, and maintain key relationships while ensuring compliance with statutory and regulatory requirements. All your work needs to be accurate, well-presented and meet high-quality standards. You will make process improvement recommendations that improve either quality, efficiency or level of client service.
What you will do
- Coordinate board and committee meetings including preparation of board packs and minutes.
- Lead the implementation of corporate governance policies and procedures while ensuring statutory and regulatory compliance.
- Manage complex corporate secretarial matters e.g., refinancing arrangements, and constitutional amendments and oversee corporate transactions including share issuances, distributions, and structural changes
- Manage relationships with key stakeholders including board members, external advisors, regulators, and service providers.
- Provide technical guidance and coaching to junior team members while ensuring quality standards are maintained.
- Review and approve corporate documentation, statutory and regulatory filings, and ensure compliance with governance frameworks.
- Maintain administrative quality control and risk management through AML/CFT compliance and control frameworks
- Where applicable, manage full entity lifecycle including onboarding, migrations, and closures as well as oversee billing processes and resolve complex fee-related matter.

Qualifications
About You
- You are a degree holder or qualified/partly qualified ICSA/ACCA/ACA (minimum Level 2)
- You have minimum 3-4 years of experience in a similar role / global business sector
- You have experience in Corporate Administration and Secretarial matters
- You have sound knowledge of Companies Act, Financial Services Act and relevant legislation affecting Global Business in Mauritius
- You have experience in supporting and mentoring junior team members
